Terms of Sale
Preamble
These Terms of Sale ("ToSale") govern the commercial relationship between Neoservice Sàrl ("Publisher"), publisher of the TransHub AI service, and any natural or legal person ("Customer") subscribing to a paid subscription to the Service. The ToSale must be read together with the Terms of Service and the Privacy Policy, available at https://app.transhubai.com. By subscribing, the Customer accepts these ToSale without reservation.
Article 1 — Definitions
- "Publisher": Neoservice Sàrl, a Swiss company, publisher of the Service.
- "Customer": any natural or legal person who has subscribed to a paid subscription to the Service.
- "Service": the full set of TransHub AI features as described in the ToS.
- "Subscription": a fixed-term contract that is automatically renewed, giving access to the Service under the chosen Plan.
- "Plan": the subscription package (Personal or Business) chosen by the Customer.
- "Seat": a unit of access to the Service assigned to a user under the Business Plan.
- "Free trial": a free testing period preceding the first charge.
- "Stripe": Stripe, Inc., the payment service provider used by the Publisher.
Article 2 — Plans and Pricing
2.1 Personal Plan
The Personal Plan is intended for individual use and includes:
- 1 user
- Tunnel relay access (remote access)
- Cloud synchronization
- 1 associated device
Price: CHF 4.90 per month (monthly billing) or CHF 49.00 per year (annual billing, equivalent to approximately CHF 4.08 per month).
Free trial: 7 days, no commitment, no payment information required (subject to conditions in force at the time of registration).
2.2 Business Plan
The Business Plan is intended for teams and organizations, and includes:
- 3 seats included
- Organization management
- Server sharing among Organization members
- Team management
- Tunnel relay access and cloud synchronization
Base price: CHF 19.90 per month or CHF 199.00 per year (including 3 seats).
Additional seats: CHF 4.90 per seat per month or CHF 49.00 per seat per year.
Free trial: 14 days, no commitment.
2.3 Price changes
The Publisher reserves the right to modify its pricing at any time. Price changes will be notified to the Customer by email at least 30 days before they take effect. If the Customer does not accept the change, they may cancel their subscription before the new price takes effect, in accordance with Article 6. Prices are expressed in Swiss francs (CHF) inclusive of all applicable taxes.
Article 3 — Free Trial
3.1 Trial conditions
Upon registration, the Customer benefits from a free trial period, the duration of which is indicated when choosing the Plan:
- Personal Plan: 7 days
- Business Plan: 14 days
During the trial period, the Customer has access to all features of the subscribed Plan.
3.2 Conversion to paid subscription
At the end of the trial period, the subscription is automatically converted to a paid subscription and the first charge is made, unless the Customer has cancelled before the end of the trial.
3.3 Cancellation during the trial
The Customer may cancel their subscription at any time during the trial period without charge or penalty, from the Account settings on the web dashboard or by contacting the Publisher at hello@neoservice.ai.
Article 4 — Payment and Billing
4.1 Payment processor
Payments are processed exclusively by Stripe, Inc., a PCI DSS-certified payment service provider. No banking data is stored on the Publisher's servers. The Customer is subject to Stripe's terms of service available at https://stripe.com/legal.
4.2 Accepted payment methods
The Publisher accepts the payment methods offered by Stripe, including Visa, Mastercard, and American Express credit/debit cards, subject to available options at the time of payment.
4.3 Currency
Transactions are carried out in Swiss francs (CHF).
4.4 Billing
The subscription is billed according to the billing interval chosen by the Customer (monthly or annually), on the anniversary date of the subscription. An electronic invoice is issued at each renewal and is accessible from the Customer's web dashboard.
4.5 Additional seats (Business Plan)
Additional seats added during a billing period are charged pro-rata for the remaining period, then incorporated into the following invoice (monthly or annual, depending on the billing interval).
4.6 Payment failure
In the event of payment failure or failed charge, the Publisher reserves the right to suspend access to the Service until the situation is resolved. The Customer will be notified by email. If not resolved within 10 days, the Publisher may terminate the subscription.
Article 5 — Automatic Renewal
The subscription is concluded for the billing period chosen by the Customer (one month or one year) and renews automatically at the end of each period by tacit agreement, unless the Customer has previously cancelled in accordance with Article 6. The Customer is informed of automatic renewal at subscription and at each renewal via the issued invoice. The Publisher commits to informing the Customer of any applicable price change with at least 30 days' notice before the next renewal.
Article 6 — Cancellation and Termination
6.1 Cancellation by the Customer
The Customer may cancel their subscription at any time, without charge or penalty, directly from their Account settings on the web dashboard or by contacting hello@neoservice.ai. Cancellation takes effect at the end of the current billing period (month or year). The Customer continues to have access to the Service until that date. No pro-rata refund is made for the remaining period, except as provided in Article 8.
6.2 Termination by the Publisher
The Publisher may terminate the Customer's subscription in the event of a violation of the ToS or these ToSale, including persistent non-payment or fraudulent use of the Service.
Article 7 — Right of Withdrawal
7.1 Right of withdrawal for consumers
In accordance with legislation applicable to consumers in the European Union (Directive 2011/83/EU), Customers who are natural persons acting in a non-professional capacity have a right of withdrawal of 14 calendar days from the date of subscription to the paid plan (excluding the free trial period). This right does not apply if the Customer has expressly requested to begin using the Service before the withdrawal period expires and acknowledges losing their right of withdrawal once the Service has been fully performed.
7.2 Exercising the right of withdrawal
To exercise the right of withdrawal, the Customer must notify their decision by email to hello@neoservice.ai before the 14-day period expires. The Publisher will acknowledge receipt and process the refund in accordance with Article 8.
7.3 Business customers and Switzerland-only customers
For business Customers (legal entities) or Customers residing exclusively in Switzerland, Swiss law does not provide a statutory right of withdrawal for online services. Cancellation may however be made at any time in accordance with Article 6.
Article 8 — Refunds
8.1 Refund upon withdrawal
In the event of a valid exercise of the right of withdrawal within 14 days, the Publisher refunds all amounts paid within 14 days of receipt of the withdrawal request, using the same payment method used at subscription.
8.2 Refund for service interruption
In the event of prolonged Service interruption attributable to the Publisher (more than 72 consecutive hours), the Customer may request a pro-rata refund for the period of unavailability at hello@neoservice.ai. The Publisher will review the request and may, at its discretion, grant a refund or credit.
8.3 General non-refund policy
Outside of statutory withdrawal and Publisher-attributable service interruption, subscriptions are non-refundable, including in cases of cancellation mid-period, non-use of the Service, or Plan changes.
Article 9 — Changes to Plans
The Publisher reserves the right to modify the features included in each Plan at any time. Substantial changes will be notified to affected Customers by email with 30 days' notice. If a change results in a significant reduction of the features the Customer subscribed to, they may cancel their subscription without charge before the change takes effect.
Article 10 — Governing Law and Dispute Resolution
These ToSale are governed by Swiss law. In the event of a dispute, the Customer is invited to contact the Publisher at hello@neoservice.ai to seek an amicable resolution. Failing that, any dispute shall be submitted to the exclusive jurisdiction of the courts of the canton of Vaud (Switzerland), subject to mandatory consumer protection provisions applicable at the Customer's place of residence.
Article 11 — Miscellaneous
11.1 Assignment
The Publisher reserves the right to assign all or part of its rights and obligations under these ToSale to a third party, in particular in connection with a merger, acquisition, or asset sale. The Customer will be informed of any assignment that may affect their rights.
11.2 Entire agreement
These ToSale, together with the ToS and the Privacy Policy, constitute the entire commercial agreement between the parties.
